5. Orders and Quotes
Quote Requests: All quotes are estimates and subject to change based on product availability, market prices, and shipping costs. Quotes are valid for 30 days unless otherwise stated.
Order Confirmation: Orders are binding only after written confirmation from Thoroldstone International. We reserve the right to refuse orders at our discretion.
Minimum Order Quantities: MOQ varies by product. Specific requirements will be communicated during quotation.
6. Pricing and Payment
Pricing: All prices are in USD or other agreed currency, FOB Nigerian ports unless otherwise specified. Prices exclude duties, taxes, and destination charges.
Payment Terms: Payment terms will be agreed in writing. Typical terms include:
- Advance payment or Letter of Credit for new customers
- Net 30-60 days for established customers
- Bank transfer to our designated account
Late Payment: Late payments may incur interest charges and suspension of services
7. Product Quality and Inspection
Quality Standards: All products meet international quality standards and are tested before shipment. Certificates and test reports are provided.
Inspection Rights: Buyers may arrange pre-shipment inspection at origin port at their own cost.
Quality Disputes: Claims must be made within 7 days of arrival with supporting evidence (photos, lab reports, surveyor reports).
8. Shipping and Delivery
Shipping Terms: We typically ship FOB Nigerian ports. Other Incoterms available upon request.
Delivery Timeline: Estimated timelines provided are approximate and subject to factors beyond our control (weather, port congestion, customs delays).
Risk Transfer: Risk transfers per agreed Incoterms. We are not liable for loss or damage after risk transfer.
9. Force Majeure
We are not liable for delays or failures due to circumstances beyond reasonable control including:
- Natural disasters, war, terrorism
- Government actions, strikes, port closures
- Crop failures, disease outbreaks
- Shipping line cancellations
10. Warranties and Disclaimers
Limited Warranty: We warrant products meet stated specifications at time of shipment. This warranty is limited to product replacement or refund.
Disclaimer: Except as expressly stated, services are provided “as is” without warranties of any kind. We disclaim all implied warranties including merchantability and fitness for particular purpose.
11. Limitation of Liability
Our total liability for any claim shall not exceed the value of the specific order in question. We are not liable for indirect, consequential, or incidental damages including lost profits.
12. Intellectual Property
All website content, trademarks, and materials are owned by Thoroldstone International Limited. Unauthorized use is prohibited.
13. Confidentiality
Both parties agree to keep confidential all non-public information shared during business transactions.
14. Governing Law
These terms are governed by the laws of Nigeria. Disputes shall be resolved through arbitration in Nigeria per Nigerian Arbitration and Conciliation Act.
15. Export Compliance
Buyers are responsible for complying with import regulations in their countries. We provide necessary export documentation but are not liable for destination customs issues.
16. Modifications
We reserve the right to modify these terms at any time. Continued use after changes constitutes acceptance.
17. Entire Agreement
These terms, together with specific order agreements, constitute the entire agreement between parties.
